Authority to Act As Proxy Form

By Authority of CAPT Bylaws:
“XXIII. PROXY VOTING
XXIII.1. Votes at all meetings may be given either personally by a member entitled to vote or by a proxy of the member.
XXIII.2. Each member who is present and entitled to vote shall have one vote, and each proxy shall be entitled to one vote for every member he or she is representing by proxy.
XXIII.3. To be represented by a proxy, a member must complete and sign an “Authority to Act as a Proxy” in the form attached hereto and send a copy of same to the corporate headquarters of the Association or such other place as is designated by the Board of Directors at least one week prior to the meeting in question.
XXIII.4. A duly executed “Authority to Act as a Proxy” shall be valid only at the meeting in respect of which it is given or any adjournment thereof.
XXIII.5. A person appointed by a member to act as their proxy should at the start of the relevant meeting identify themselves and the member they are representing so that the chair of the meeting shall know how many votes are to be cast.
XXIII.6. No individual shall be allowed to solicit the right to act as a proxy for a member. Failure to comply with this provision shall result in the proxy holder not being allowed to vote or participate in the meeting.
XXIII.7 A Person appointed by a member to act as their proxy at a meeting must be a member of the Association in good standing.
XXIII.8 If a dispute arises touching on any matter relating to proxy voting, the chair of the meeting shall have the final say on the issue. A member may appeal the decision of the chair of the meeting to the Board of Directors, who shall decide the issue by majority vote. Final Bylaws Approved at AGM of the Members April 25, 2014.
XXIII.9 The Board of Directors may from time to time make regulations regarding proxy”
Members of the CAPT who cannot attend meetings of the membership, are entitled to be represented at such meetings and to vote by means of a proxy appointed by them.
It is requested that all proxies be received one week before the Annual General Meeting, or in this case, April 26th, 2024.
